New Fairness Opinion Standards of the DVFA and board duties in the context of M&A

Due to the growing and increasingly international market for corporate transactions, the importance of fairness opinions is constantly increasing.

The Fairness Opinion of an independent party represents a central tool for company leaders to assess M&A transactions and is also of great relevance for protecting the corporate bodies. Since there are no legal rules for preparing fairness opinions, the current standards of the DVFA are of great importance in German-speaking countries in order to define uniform guidelines.

In addition to an overview of the new Fairness Opinion Standards, at this event we will also go into the general duties of corporate bodies in M&A transactions.

Speakers:

• Prof. Dr. Christian Aders is Senior Managing Director of ParkView Partners. ParkView combines strategic and financial consulting knowledge with in-depth expertise in company valuations. With over 30 years of experience in company valuation and financial consulting, Christian Aders is one of the experts in the areas of corporate transactions, restructuring, court and arbitration proceedings and strategic value management.
  He is an honorary professor at the LMU Munich and a member of the DVFA working group “Fairness Opinions” and “Best Practice Recommendations for Corporate Valuation”.
  

• Dr. Florian Kusznier is co-head of the firm-wide corporate/M&A team at Wolf Theiss and specializes in cross-border M&A transactions, joint ventures, public takeovers and transactions with start-up companies. He also advises on corporate law issues.
  He serves strategic and financial investors across a range of industries, with a focus on life sciences and technology and digitization.

Die neuen Fairness Opinion Standards der DVFA und Organpflichten im Rahmen von M&A

Aufgrund des wachsenden und zunehmend internationaleren Markts für Unternehmenstransaktionen nimmt die Bedeutung von Fairness Opinions kontinuierlich zu.

Die Fairness Opinion einer unabhängigen Partei stellt für Unternehmenslenker ein zentrales Instrument zur Beurteilung von M&A-Transaktionen dar und ist darüber hinaus zur Absicherung der Unternehmensorgane von hoher Relevanz. Da es keine gesetzlichen Regeln zur Erstellung von Fairness Opinions gibt, sind die aktuellen Standards der DVFA im deutschsprachigen Raum von hoher Bedeutung, um einheitliche Richtlinien festzulegen.

Neben einem Überblick über die neuen Fairness Opinion Standards gehen wir bei dieser Veranstaltung auch auf die generellen Organpflichten bei M&A-Transaktionen ein.

  Weiters berät er zu gesellschaftsrechtlichen Fragestellungen. Er betreut strategische und Finanzinvestoren in einer Reihe von Branchen, wobei seine Schwerpunkte auf den Bereichen Life Sciences sowie Technologie und Digitalisierung liegt.
