Vienna/Ljubljana, 16 May 2023 – Wolf Theiss acted as legal advisor to Erste Group Bank AG (“EGB AG”) on the successful sale of the Velenjka shopping centre in Velenje, Slovenia, by WG PROJEKTIRANJE d.o.o. to VELENJKA d.o.o. 

Wolf Theiss provided legal assistance to EBG AG in every stage of the sale, from the initial phases of the negotiation on Head of Terms; drafting and advising on master, share purchase, asset purchase and, escrow agreements, declarations on the release of mortgages, land debt and encumbrances on the business share; drafting the shareholders’ resolution and various other corporate documentation, to the successful closing of the transaction on 31 March 2023. 

Furthermore, part of the transaction included advice on the transfer of EU trademark “Velenjka”, held by WG PROJEKTIRANJE, as well as a review of the underlying trademark transfer and know how agreement on the basis of which WG PROJEKTIRANJE obtained the “Velenjka” trademarks.

Under the direction of Counsel Michael Kienzl, (Corporate M&A, Vienna) Wolf Theiss involved a wider team from several practice groups and jurisdictions: Partner Klemen Radosavljević (Corporate M&A, Ljubljana), Counsel Petra Jermol (Real Estate, Ljubljana), Associate Larisa Primožič (Corporate M&A, Ljubljana).
