Wolf Theiss advises CONSTELLATION CAPITAL on acquisition of EVS Group

Warsaw, 23 January 2025 – Wolf Theiss acted as Polish counsel to CONSTELLATION CAPITAL, a Swiss investment group, in connection with the acquisition of Exportverpackung Sehnde Group (EVS Group), including Polish packaging services providers Export Pack Polska sp. z o.o.. EVS Group is now part of the ARCA Group, owned by CONSTELLATION CAPITAL. This acquisition strengthens ARCA Group’s regional footprint, extending its reach to northern Germany and Poland.

The ARCA Group, part of CONSTELLATION CAPITAL AG, is a rapidly expanding provider of wooden packaging and other packaging services in the DACH-region. This and future acquisitions are intended to establish a tight-knit network of wooden packaging and packaging service companies that will benefit from synergies in the areas of purchasing, professionalisation of processes and digital transformation.

The EVS Group, which comprises Exportverpackung Sehnde GmbH and Export Pack Polska Sp. z o. o., provides packaging services through its approximately 120 employees at locations in Sehnde and Hannover in Lower Saxony. Export Pack Polska sp. z o.o., based in Zabrze, Poland, specialises in the production of packaging materials and the provision of packaging and other logistics services.

Wolf Theiss acted as local Polish counsel in cooperation with lead counsel ARQIS. Wolf Theiss played a key role in handling all Polish legal and tax aspects of the transaction, including the legal due diligence of the Polish subsidiary and preparation of the relevant transactional documentation.
