Wolf Theiss advises SoftBank Group on the planned USD 6.5 billion acquisition of Ampere Computing
Warsaw, 17 April 2025 – Wolf Theiss, in collaboration with Morrison Foerster, advised SoftBank Group Corp. (TSE: 9984, “SoftBank Group”), an investment holding company with stakes in AI, robotics, IoT, telecoms, internet services and clean energy technology, in connection with the planned acquisition of Ampere® Computing, a leading independent silicon design company, from Ampere’s lead investors, Carlyle (NASDAQ: CG) and Oracle Corp. (NYSE: ORCL).
SoftBank Group is acquiring Ampere in an all-cash transaction. Under the terms of the agreement, Ampere will operate as a wholly owned subsidiary of SoftBank Group and retain its name. Completion of the transaction is subject to customary closing conditions – including regulatory approvals – and is expected to close in the second half of 2025.
As SoftBank Group continues to expand its AI infrastructure investments, this acquisition represents a key component of its comprehensive, long-term strategy to strengthen its position at the forefront of AI innovation. The transaction is expected to enhance SoftBank’s capabilities in critical areas and accelerate the execution of its strategic growth initiatives.
