Wolf Theiss advises Thoma Bravo on its strategic growth investment in PCMI

Warsaw, 18 March 2025 – Wolf Theiss, in collaboration with global law firm Kirkland & Ellis, advised Thoma Bravo, a leading software investment firm, on the acquisition of PCMI, the premier provider of administration software for finance & insurance (F&I) products in the automotive and consumer end markets. This deal represents a significant milestone for PCMI.

As part of the transaction, existing shareholders – including PCMI management, its employees and Equality Asset Management (“EAM”), a growth-focused private equity firm – will retain minority positions in the company.

Thoma Bravo is one of the largest software-focused investors in the world, with over USD 179 billion in assets under management as of 31 December 2024. Through its private equity, growth equity and credit strategies, the firm invests in growth-oriented, innovative companies operating in the software and technology sectors. Leveraging Thoma Bravo’s extensive sector knowledge, as well as its strategic and operational expertise, the firm collaborates with its portfolio companies to implement operating best practices and drive growth initiatives.

PCMI offers a modern suite of software solutions for policy administration, claims management, risk management and the financial management of insurance products. PCMI’s customers include leading original equipment manufacturers, third party administrators, self-administrators and insurers who offer and manage warranties, service contracts and other finance and insurance products.

Wolf Theiss acted as Polish legal counsel for leading M&A legal adviser Kirkland & Ellis, advising on all Polish aspects of the transaction and concluding the due diligence of PCMI’s subsidiary in Poland.
