Wolf Theiss advises Orkla Food Ingredients AS in Strategic Partnership with Rhône Group LLC

Bratislava, Budapest, Prague, 23 November 2023 – Wolf Theiss, acting under the leadership of lead counsel Wiersholm, advised Orkla Food Ingredients AS in the divestment of a 40% stake in the company to Rhône Group LLC, a private equity firm. Rhone Group is set to acquire the stake in Orkla Food Ingredients AS for a equity consideration of 6.2 billion NOK ($554 million).

Wolf Theiss advised on the Czech, Hungarian and Slovak law aspects, and in particular related to Due Diligence work, of the divestment of 40% stake in Orkla Food Ingredients AS, the Norway based supplier of baking ingredients.

The transaction, officially announced on 26 October 2023, is anticipated to conclude by the end of the first quarter of 2024, subject to customary closing conditions and regulatory approvals.

The Slovakian M&A team was led by Partner Bruno Stefanik and was further comprised of Counsel Zuzana Hodonova, Senior Associate Vladimir Simkovic, Jozef Vircik, Kristina Semanska, Miroslav Michler, Peter Dibala and Viktoria Achbergerova (all Associates, Corporate/M&A). The Hungarian team was led by Partner Janos Toth (Corporate/M&A), who was further supported by Senior Associate Peter Ihasz and Associate Dorottya Mercsek (both Corporate/M&A). The Czech M&A team consisted of Counsel Tereza Naucova, Senior Associate Michal Matous and Associate Kamila Webb.
