Wolf Theiss advises Software AG on the restructuring and sale of its Super iPaaS business to IBM

Vienna, Sofia, 10 July 2024 – Wolf Theiss provided legal advice to Software AG, a German multinational software corporation majority-owned by private equity firm Silver Lake and specialising in enterprise software solutions, throughout the carve-out and sale of its Super Integration Platform as a Service (Super iPaaS) business to IBM. The transaction valued at EUR 2.1 billion, closed on July 1, 2024.

Software AG focuses on developing enterprise software for business process management and big data analytics. Its Super Integration Platform, which facilitates the integration of applications and data, was sold to IBM. The Super iPaaS business, carved out by Software AG only several months before the transaction through the consolidation of two existing divisions, was also supported by Wolf Theiss.

Wolf Theiss advised Software AG on all Bulgarian and Austrian legal aspects of the transaction.

The multijurisdictional Wolf Theiss team was led by Partners Horst Ebhardt and Richard Clegg and further included Partner Anna Rizova, Counsel Doris Buxbaum, Senior Associate Staniella Todorova, Senior Associate Yanitsa Radeva, Senior Associate Maria Nikolova, Senior Associate Zhulieta Markova, Senior Associate Alexander Radichkov and Associate Talliya Romanova (all Corporate/M&A).

The transaction also saw legal counsel provided by multiple other law firms, with Simpson Thacher & Bartlett LLP acting as primary counsel for Software AG.
