Wolf Theiss advises Standard Motor Products on completion of Nissens Automotive acquisition

Warsaw, 12 December 2024 – Wolf Theiss acted as local counsel to Standard Motor Products, Inc. (“SMP”), a leading manufacturer and distributor of automotive parts, in relation to the completion of its acquisition of AX V Nissens III APS (“Nissens”), a European supplier specialising in aftermarket engine cooling, air conditioning and vehicle control technologies.

The transaction, valued at approximately USD 390 million net of cash, assumed debt and subject to post-closing adjustments, marks a strategic step in SMP’s expansion within the automotive aftermarket. Through this acquisition, SMP enhances its presence in both North America and Europe, fostering synergies across product categories and markets.

Wolf Theiss’ mandate included advising SMP on the Polish, Hungarian, Slovak and Ukrainian aspects of the transaction, including obtaining merger clearances in Poland and Ukraine.

The multi-jurisdictional Wolf Theiss team was led by Izabela Zielińska-Barłożek and Maciej A. Szewczyk.
